ACC Ltd has informed BSE that, in accordance with the order of the Hon'ble High Court of Judicature at Bombay dated April 29, 2011, a meeting of the members of ACC Ltd (the 'Transferee Companies') was convened and held on June 01, 2011.
The resolution for approval of the Scheme of Amalgamation of the Lucky Minmat Limited, National Limestone Company Private Limited and Encore Cements and Additives Private Limited ('Transferor Companies') into the Transferee Company was put to a ballot.
225 shareholders, in person or proxy or through authorized representatives were present constituting 13,65,70,749 number of shares of the Transferee Company.
The resolution was approved by 165 number of shareholders holding 13,28,22,908 shares of the Transferee Company comprising 97.25 % in value and 73.33% In number of the total shareholding of the Transferee Company.
The resolution was approved by the requisite majority of shareholders comprising three-fourths in value and a majority in number of the members present and voting in accordance with Sections 391-394 of the Companies Act, 1956.
