OVERVIEW During the financial year 2009-10, on a standalone basis, your Companys revenuesstood at Rs. 5,078.76 crores registering a growth of 8.63% over the previous year and on aconsolidated basis, the Companys revenues for the year 2009-10 stood at Rs.12,136.29 crores registering a growth of 18.64% over the previous year. DIVIDENDS Your directors are pleased to recommend a final dividend of Re.1 per equity share forthe financial year ended June 30, 2010, subject to the approval of the shareholders at theensuing Annual General Meeting of the Company. SCHEME OF AMALGAMATION During the year under review, the Board of Directors of the Company, subject torequisite approvals, had approved the Scheme of Amalgamation ("Scheme") undersection 391 to 394 of the Companies Act, 1956 for amalgamation of HCL Technoparks Limited,wholly owned subsidiary of the Company with the Company. The Company has filed the petition before the Honble High Court of Delhi forapproval of the Scheme of Amalgamation. The Scheme, if approved, shall be effective fromApril 1, 2009. SUBSIDIARIES/ BRANCHES FORMED DURING THE YEAR HCL Technologies Denmark ApS and HCL Technologies Norway AS In view of the new business prospects of the Company, the Company has set up its stepdown subsidiaries in Denmark viz. HCL Technologies Denmark ApS and in Norway viz. HCLTechnologies Norway AS. During the year, your Company has also set up its branch office in U.S.A. EXISTING SUBSIDIARIES-CLOSURE DURING THE YEAR Your Company had acquired Axon Group Ltd. ("Axon") in 2008-09 which is aleading U.K. based SAP consulting Company. Axon had set up subsidiaries in variouscountries. As a rationalization process, the applications for winding up were filed withthe appropriate authorities for the two dormant entities viz. Aspire Solutions Sdn. Bhd.,a company incorporated in Malaysia and Axon EBT Trustees Limited, a company incorporatedin U.K. as their businesses were integrated with other entities in these countries. SUBSIDIARIES - FINANCIALS The Company has 56 subsidiaries as on June 30, 2010. 3 subsidiaries of the Company arenot required to prepare the financials as on June 30, 2010 as they have been incorporatedduring the current year and the first financial year of these companies shall closesubsequent to June 30, 2010. The Company has been granted exemption under section 212 of the Companies Act, 1956 bythe Ministry of Corporate Affairs from annexing the accounts and other information for itssubsidiaries along with the accounts of the Company for the year ended June 30, 2010. Asper the terms of the exemption letter, a statement containing brief financial details ofthe Companys subsidiaries for the year ended June 30, 2010 shall form part of theAnnual Report. As required under the Listing Agreement with the Stock Exchanges, consolidatedfinancial statements of the Company and its subsidiaries are attached. CHANGES IN CAPITAL STRUCTURE Issue of shares under Employee Stock Option Plans During the year ended June 30, 2010, the Company allotted 85,27,212 equity shares ofRs. 2/- each fully paid up under its Employees Stock Option Plans. Issued and Paid-up Share Capital As on June 30, 2010, the issued and paid-up share capital of the Company was Rs.135,75,67,624/- (previous year: Rs. 134,05,13,200/-) comprising 67,87,83,812 (previousyear: 67,02,56,600) equity shares of Rs. 2/- each fully paid-up. SHARES UNDER COMPULSORY DEMATERIALIZATION The equity shares of your Company are included in the list of specified scrips wheredelivery of shares in dematerialized (demat) form is compulsory effective from July 24,2000, if the same are traded on a stock exchange , which is linked to a depository. As ofJune 30, 2010, 99.93% shares were held in demat form. These systems ensure that transactions are executedin accordance with specified policies and resources are deployed as per the business plansand policies. The Company has an in-house internal audit division and the head of internal auditfunction reports directly to the Audit Committee to ensure independence of this function. This is a voluntary initiative combined withcorporate action, and targets the reduction of Green House Gas (GHG) emissions and carbonfoot prints. Your company has engaged a consultant for measuring the carbon foot print consumptionand for LEED certi cation under USGBC LEED :EB:O&M rating system for its campusbuilding. The recommendations are being implemented to achieve the LEED certificationstatus. All buildings under construction are as per green building principles and havebeen optimized for energy performance and occupant comfort. Your Company has also receiveda star rating for our energy efficient buildings by the Bureau of Energy Efficiency. Our Energy Efficiency drive includes: Normal bulbs replaced by CFLs. All air conditioners, lights and PCs are shutdown after 18 30 hrs. All facilities have an optimum ratio of glass windows to utilize naturaldaylight and proper insulation/ventilation to balance temperature and reduce heat. Regular sensitization campaigns: HCL celebrated earth hour on the 9th September 2009, by switchingoff the lights of all its facilities at 9 pm for 9 minutes. State-of-art power utility equipment with high energy efficiency. (ii) IT Infrastructure: Your Company has taken various steps to build a Green enterprise internally, as well ashas developed various frameworks that help its customers achieve an ideal Green IT state.Over the past couple of years we have reduced our server footprints owing to a massiveinternal IT optimization and rationalization exercise that dramatically reduced ourDatacenter carbon footprint. Through our pioneered global remote infrastructure management model, we ensure that ITinfrastructure services are delivered through e-service or remote management, which hasreduced the physical contact and travel of IT engineers. (iii) Carbon Footprint measurement: Your Company has formed a Green Council to address the response to Global Warming. Thefirst decision of the council has been to start publishing in the annual Green House Gas(Carbon) emissions reports. The measurement is being done by using Companysdeveloped Carbon accounting framework, manage Carbon. b) Research and Development ("R& D") (i) Specific areas in which R&D was carried out Your Company is one of the few Indian companies with significant focus on engineeringservices. The Engineering, Research and development Services group offers end-to-endengineering services and solutions in hardware, embedded, mechanical and software productengineering to industry leaders across aerospace and defence, automotive, consumerelectronics, industrial manufacturing, medical devices, networking and telecom, officeautomation, semiconductor, servers and storage and software products. Your Company understands the importance of R&D in augmenting its customersbusinesses and is committed to providing these world-class services to them. Over a decadeof operating in complex multi-vendor environments and customer value chains, we have theability to seamlessly integrate into their existing R&D ecosystem, working with otherinnovation partners, captive centers, universities, industry bodies and manufacturingpartners. The group has recently started a business unit with a dedicated team to focus onDefense, Space and Security. It has also developed the Business Aligned Test Framework tospecifically address the industry need for a standard and cost-effective approach totesting and verification activities in hardware, software, mechanical, system safetyassessment, test engineering, prototyping, design assurance and new product realization. flIn addition, your Company reengineered the ight test system that is being used forcertification and regulatory approvals for Boeing 787. For the Swiss division of globalmedical devices major, your Company was responsible for the complete development of aClass III implantable drug delivery medical device that has recently been launched in themarket. Your Company foresees a shift towards clients preferring outsourcing companies to sharetheir long-term vision, risks, and rewards in developing product-based ecosystems thatimpact client-experience. Towards this, your Company is investing heavily in developingits own IPs and solutions to help customers impact the overall product ecosystemfaster and better. Solutions include a unified communication platform, a remote diagnosticreusable module, telematics and test platforms in multiple verticals.
