3. The 51st Annual General Meeting of the Company will be held on Monday July 17, 2023 Pursuant to Section 91 of the Companies Act, 2013 and Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and Share Transfer Register of the Company will be closed from Tuesday, July 11 2023 to Monday, July 17 2023 (both days inclusive) for the purpose of 51st Annual General Meeting to be held on Monday, July 17 2023, through Video Conferencing (VC)/Other Audio Visual Means (OAVM) in compliance with the applicable circulars issued by Ministry of Corporate Affairs and Securities and Exchange Board of India (SEBI). The Company has fixed Friday, July 07, 2023 as the Record Date for determining entitlement of Members to final dividend for the financial year ended March 31, 2023. The final dividend, if approved by the Members at the AGM, will be paid subject to deduction of tax at source. Disclosure of events pursuant to Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulation, 2015 - Summary of proceedings of 51st Annual General Meeting of Sinclairs Hotels Limited held on July 17, 2023. This is to inform you that members of the Company at the 51st Annual General Meeting held on 17 July, 2023 approved the appointment of Mr. Sushil Kumar Mor (DIN 00274066) as an Independent Director for a period of five years w.e.f.
