In terms of Regulation 30 and 34 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, please find enclosed the Annual Report of Pagaria Energy Limited (the Company) for the Financial Year 2022-23 along with notice convening 32nd Annual General Meeting of the members of the Company, scheduled to be held on Friday, September 29, 2023 through Video Conferencing/Other Audio Visual Means (VC/OVAM) at 1:00 P.M. In terms of Section 108 of Companies Act,2013 read with rule 20 of the Companies(Management and Administration)Rules,2014 and Regulation 44 of the SEBI Listing Regulations,2015, the company shall provide its members the facility to exercise their votes electronically for the AGM to be held on Friday, September 29, 2023 at 1:00 P.M. through video conferencing/ other audio visual means. Pursuant to Regulation 42(2) of SEBI Listing Regulations and Disclosure Requirements,2015 and Section 91 of Companies Act,2013, the Register of Members and Share transfer Book will remain closed from 22nd September,2023 to 29th September,2023(both days inclusive), for the purpose of AGM. Please find enclosed a gist of proceedings of the 32nd Annual General Meeting of M/s Pagaria Energy Limited September 29th, 2023 pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements)Regulations, 2015 which concluded at 1:10 P.M.
