The forty-second Annual General Meeting (AGM) of the Company will be held on Saturday, August 19, 2023 at 1.00 p.m. IST through Video Conferencing/Other Audio Visual Means. Pursuant to Regulation 34(1) of the Securities Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulation 2015, (Listing Regulations), we are submitting herewith the Annual Report of the Company along with Notice of AGM for the financial year 2022-23 which being send to Members, who have registered their e-mail addresses with the Company/Depositories, through electronic mode. The Annual Report containing the Notice is also uploaded on the Companys website www.indoborax.com Pursuant to provisions of regulation 30 read with Schedule III of SEBI (LODR) Regulations, 2015 please find attached hereiwth the summary of proceedings of the 42nd AGM held on 19th Augsut, 2023 at 1.00 pm (As Per BSE Announcement Dated on 19/08/2023) In continutiaon to our letter dated 19th August, 2023, we enclosed herewith revised AGM proceedings. In respect of point no. 3 of the AGM proceeding filed, the total number of members attended has been inadvertently mentioned as 51 instead of 59, which may be please be read accordingly. All other contents of the AGM proceedings except this shall remain unchanged. Pursuant to section 108 of the Companies Act, 2013 read with rules made thereunder, and Regulation 44 of the SEBI Listing regulations, 2015 please find attached herewith the Scrutinizers Report towards Voting Results of 42nd AGM held on 19th August, 2023 (As per BSE Announcement Dated on 21/08/2023)
