This is to inform you that 60th Annual general Meeting of the Company will be held on Thursday, August 10, 2023 at 11:00 am IST through Video conferencing/Other Audio-Visual Means(VC/OAVM). Pursuant to Regulation 42 of SEBI(LODR) Regulations, 2015 and all other applicable rules, regulation and provisions, Please note that the Company has fixed the record date as Friday, July 21, 2023 for the payment of final dividend. Further to our intimation dated July 6, 2023 and inter-alia pursuant to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and other applicable circular(s), rules and regulations, please find enclosed herewith the Notice of 60th Annual General Meeting (AGM) alongwith the Integrated Annual Report of the Company for FY 2022-23. The Notice, inter-alia, indicates the process and manner of remote e-voting/ e-voting at the AGM and instructions for participation at the AGM through Video Conferencing /Other Audio-Visual Means (VC/OAVM). The aforesaid documents are being sent through electronic mode to all the Members of the Company, whose e-mail ids are registered with the Company/the Registrar and Share Transfer Agent/Depositories and also being made available on the website of the Company at https://www.zensar.com/about/investors/investorsrelation? result=Annual-Results Investor-Corner. Notice of 60th Annual General meeting and Integrated Annual Report for FY 2022-23 (As Per BSE Announcement dated on 17.07.2023) Please find enclosed copy of newspaper advertisement(s) published in Financial Express(all editions) and Loksatta (Pune edition) regarding the completion of electronic dispatch of Integrated Annual report 2022-23 and Notice of ensuing Annual General Meeting of the Company held through Video Conferencing/Other Audio-Video Means (VC/OAVM). (As per BSE Announcement Dated on 18/07/2023) Proceedings of 60th Annual General Meeting of the Company held on August 10,2023 at 11.00 a.m. IST, through VC/OAVM.
