(Note: The column headers for the three financial years are cut off at the top of the image, but based on the context of previous pages, they represent 31-03-2026, 31-03-2025, and the Differential/Increase.)
Note:1 -
The increase was primarily attributable to the acquisition of new contracts and higher order volumes from existing customers, resulting in increased revenues from the Companys core manufacturing business. The growth was further supported by increased contribution from key geographical markets, particularly Karnataka. In addition, increased revenue generated from trading activities during Fiscal 2026 also contributed to the overall increase in Revenue from Operations.
Note 2
The increase in other income is primarily attributable to the increase in interest income and gain on sale of PPE during the current fiscal.Note 3
The increase in total income was mainly due to increase in Revenue from Operation during the current year.Note 4
The increase in Cost of Materials Consumed during the current fiscal was primarily due to the higher purchases corresponding with the increase in Revenue from Operations and overall business activity during the fiscal.Note 4a
The movement reflects changes in production levels, procurement patterns, sales volume, and inventory management practices during the years. Inventory levels fluctuate based on project execution schedules.Note 5
This increase was mainly due to increase in overall Salaries paid during the fiscal year and increase in actuarial provision due to change in labour laws.Note 6
Other Expenses increased, primarily due to higher legal and professional charges, increased rent, CSR expenditure, and sitting fees paid to directors, along with an increase in other administrative expenses associated with the growth of the Companys operations.Note 7
This increase was due to the depreciation on additional assets purchased during the year.Note 8
This increase was mainly due to increase in interest expenses as per utilizations.Note 9
Despite an increase in material consumption costs, employee benefit expenses, depreciation and other operating expenses associated with higher business activity, the Companys profitability improved during Fiscal 2026, primarily due to growth in Revenue from Operations and a significant increase in Other Income, which positively contributed to Profit Before Tax.Note 10
This increase was mainly due to increase in Profit before Tax as mentioned above.Note 11

| Particulars | 31-3-2026 | 31-3-2025 | Differential | Remarks |
| (This table is incomplete on Page 7 it continues on Page 8) |
2026 total revenue increased from 4,520.81 lakhs in FY 2025 to 5,214.10 lakhs, registering a growth of 15.34% driven by new contracts secured during the year and higher offtake from existing customers. Profit After Tax increased from 371.41 lakhs (8.22% of total revenue) in FY 2025 to 420.47 lakhs (8.06% of total revenue) in FY 2026, an increase of 13.21% in absolute terms.
Unlike FY 2025, where the improvement in profitability arose principally from a reduction in cost ratios, the growth in FY 2026 has been driven primarily by an expansion in the scale of operations, with the net margin being broadly maintained at the previous years level. The movement is explained by the following factors:
Revenue from Operations grew by 14.41% from 4,514.01 lakhs to 5,164.50 lakhs. Sale of products increased by 12.82% (from 4,282.12 lakhs to 4,831.21 lakhs) and sale of services increased by 43.72% (from 231.89 lakhs to 333.29 lakhs). Cost of Material Consumed and Changes in Inventories: This cost improved further from 67.36% of total revenue in FY 2025 to 66.80% in FY 2026, a reduction of 0.56%. The Company has continued to benefit from the progressive shift in procurement of HMI panels from Emerson Automation Solutions Intelligent Platforms (P) Ltd. to Mitsubishi Electric India Private Limited, which commenced in FY 2025 and was substantially completed during FY 2026. Employee Benefit Expenses: These increased from 14.11% to 14.49% of total revenue, an increase of 0.38%. Of the total increase of 117.60 lakhs, 39.25 lakhs is attributable to higher actuarial provisioning towards gratuity (18.05 lakhs to 41.53 lakhs) and leave encashment (Nil to 15.78 lakhs) consequent to the revised labour codes, with the balance representing annual increments and additions to the workforce. Other Expenses: These increased from 4.83% to 5.02% of total revenue, an increase of 0.19%, aggregating 43.23 lakhs. The increase is primarily on account of costs associated with the proposed listing and the Companys transition to a public limited company - legal and professional charges (5.52 lakhs to 20.68 lakhs), payments to auditors (6.25 lakhs to 13.25 lakhs), CSR expenditure (Nil to 6.14 lakhs) and directors sitting fees (Nil to 2.40 lakhs) - together with higher rent on additional space taken during the year (37.27 lakhs to 53.79 lakhs). These were partly offset by lower travelling and conveyance (72.37 lakhs to 53.87 lakhs) and the non-recurrence of stamp duty of 11.65 lakhs incurred in FY 2025 on increase in authorised capital. Bad debts remained at a normalised level of 4.02 lakhs (FY 2025: 4.53 lakhs).
Depreciation Expenses: These increased from 0.96% to 1.14% of total revenue, on account of assets added during the year; the net block increased from 579.20 lakhs to 629.20 lakhs notwithstanding the depreciation charge of 59.56 lakhs. Finance Costs: These remained flat in absolute terms at 68.22 lakhs (FY 2025: 67.82 lakhs) and consequently declined from 1.50% to 1.31% of total revenue.
Accordingly, total expenses increased marginally by 0.15% of total revenue, from 91.78% in FY 2025 to 91.94% in FY 2026, the reduction in material and finance cost ratios having been offset by higher employee, other and depreciation expenses. Profit After Tax consequently increased by 49.06 lakhs, or 13.21%, over the previous year.

This increase was mainly due to increase in overall Salaries paid during the fiscal year.Note 6
The decrease in Other Expenses was mainly due to decrease in bad debts in comparison to previous fiscal.Note 7
This decline in depreciation in the current year was due to the derecognition of assets during the fiscal year.Note 8
This increase was mainly due to increase in interest expenses as per utilization.Note 9
The increase in Profit Before Tax (PBT) is primarily due to higher revenue and improved margins. Revenue earned from new projects came with a higher gross profit margin %, compared to the companys average margin. In addition, the service-type revenue increased during the current fiscal as compared to the last year which again resulted in higher margins and increased overall profitability. Further, reduced cost of materials consumed and other expenses impacted PBT positively. Furthermore, the shift from using different materials from different suppliers during the year contributed to improved profitability. Collectively, these factors explain the significant increase in PBT compared to the prior year. Details are as follows:During FY 2024-25, the Company received two government orders from Karnataka Power Corporation Limited (KPCL) aggregating to 1,181.88 lakhs (incl. GST). One order pertained to renovation and modification of the relay logic system and electrical system of Stacker/Reclaimer-1 at the Coal Handling Plant (CHP) Stage-1 of Raichur Thermal Power Station (RTPS), with an order value of 735.00 lakhs. The second order, valued at 446.88 lakhs, related to Repair & Maintenance work of existing relay based control systems of RTPS CHP equipment with latest version PLC based control systems and establishment of centralized common control room at CHP-2 control room. These KPCL projects compared to the Companys other projects during the year, which resulted in relatively higher gross profit margins in FY 2024-25.
The comparative gross profit margins from KPCL projects and other projects executed during the year are set out below:
| Particulars | Revenue booked by Syttech (? in lakhs) | Cost to the Company (? in lakhs) | Gross Profit (? in lakhs) | Gross Profit Margin (in %) |

| Profit After Tax | 371.41 | 8.22% | 135.09 | 3.06% | 5.16% | overall Cost decreased and Profit increased by 5.16% in FY 2025 |
In FY 2025, total revenue increased marginally from 4,414.85 lakhs in FY 2024 to 4,520.81 lakhs, driven by steady demand across projects. However, Profit After Tax increased from 135.09 lakhs (3.06% of total revenue) in FY 2024 to 371.41 lakhs (8.22% of total revenue) in FY 2025.
The improvement in profitability was primarily due to the following factors:
Cost of Material Consumed and Changes in Inventories: This cost declined substantially from 73.43% of total revenue in FY 2024 to 67.36% in FY 2025, resulting in a reduction of 6.07%. The improvement was driven by a favourable change in product mix, improved procurement efficiency, utilisation of opening inventory, and the transition to more cost-efficient suppliers for HMI panels.
The Company has progressively shifted procurement of HMI panels from Emerson Automation Solutions Intelligent Platforms (P) Ltd. to Mitsubishi Electric India Private Limited. This transition has resulted in improved pricing and procurement efficiency and has positively impacted material costs, particularly in FY 2025, as supported by procurement data provided in Point No. 11 and Exhibit-I of our earlier submission dated 20/11/2025.
Other Expenses: Other expenses reduced from 6.00% of total revenue in FY 2024 to 4.83% in FY 2025, primarily due to a lower provision for bad debts during the year.
While employee benefit expenses and finance costs increased marginally due to workforce expansion and higher utilisation of borrowings, these increases were more than offset by the reduction in material costs and other expenses. As a result, total expenses declined by 5.16% of total revenue, leading to a corresponding increase in Profit After Tax.
