Kiran Mazumdar Shaw steps down from Infosys board

Kiran Mazumdar-Shaw, an Independent Director on Infosys’ Board, announced her retirement today, effective March 22, 2023.

As a result, based on the recommendation of the ‘Nomination and Remuneration Committee,’ the Board has appointed D Sundaram as the Company’s Lead Independent Director, effective Thursday.

D Sundaram has served on the Infosys Board of Directors since 2017. D Sundaram is a member of the Audit Committee, the Risk Management Committee, the Stakeholders Relationship Committee, the Nomination and Remuneration Committee, and the Cybersecurity Risk Sub-Committee.

In 2014, Kiran Mazumdar-Shaw became an Independent Director on the Board of Infosys, and later in 2018, she was elevated to the position of Lead Independent Director.

In addition to her role on the Board, she held several key positions, including serving as the Chair of the ‘Nomination & Remuneration Committee’ and ‘CSR Committee’, as well as being a member of the ‘Risk Management and ESG Committees’.

Following this development, Infosys was trading 1.21% higher at Rs1,391.10 apiece, against the previous close of Rs1,374.55 on NSE.
