We wish to inform you that the Board of Directors of the company at its meeting held today has inter alia: (i) Considered and approved the Audited Financial Statements for the Quarter and Year ended 31st March, 2023; (ii) Recommended a dividend of Rs.12.50 (Rupees twelve and paise fifty only) per equity share (125%) of Rs.10 each for the financial year ended 31st March, 2023 subject to the approval of the members at the ensuing Annual General Meeting Further to our letter SEC/MAIL/2023 dated 25.05.2023, the shareholders at the 39th AGM held on 04.09.2023 have approved the Special Resolutions for inserting the attached objects as sub-clause (5) and (6) after sub-clause (4) in Clause III (A) (Main object) of the MOA of the company (As Per BSE Announcement Dated on 05.09.2023) PROCEEDINGS, VOTING RESULTS AND SCRUTINIZERS REPORT OF THE 39TH ANNUAL GENERAL METERING (As per BSE Announcement Dated on 04/09/2023)
