AGM 08/08/2023 This is to inform that the 38th Annual General Meeting (AGM) of the Members of Rupa & Company Limited will be held on Tuesday, August 08, 2023 at 11.00 a.m. (IST) through VC/OAVM in accordance with the relevant Circulars issued by the MCA and SEBI. The cut off date for determining members eligible to vote at the ensuing AGM has been fixed to be on Tuesday, August 01, 2023. The Register of Members and Share Transfer Books of the Company will be closed as per details provided below: Book Closure (both days inclusive): Wednesday August 02, 2023 to Tuesday August 08, 2023 The dividend as recommended by the Board of Directors, if approved at the AGM shall be paid through any RBI approved electronic mode within 30 days from the date of approval. (As Per BSE Announcement dated on 04.07.2023) In terms of Regulation 30 of SEBI(LODR) Regulations, 2015 read with Part A of Schedule III (as amended), we enclose herewith the summary of proceedings of the 38th AGM of the Company held on Tuesday, 8th August, 2023 at 11.00 AM through VC/OAVM. (As per BSE Announcement Dated on 08/08/2023) In terms of Regulation 44(3) of SEBI (LODR) Regulations, 2015, we enclose herewith the Voting Results and Consolidated Scrutinizers Report with respect to the 38th AGM of the Company held on Tuesday, August 08, 2023 at 11:00 a.m. (IST) through VC/OAVM. (As per BSE Announcement Dated on 09/08/2023)
