This is to inform that a meeting of Board of Directors is scheduled to be held on Tuesday, August 16, 2022, to consider and approve, inter-alia, the Scheme of Arrangement for Merger of Hinduja Leyland Finance Limited with the Company under Sections 230 to 232 and other applicable provisions of the Companies Act 2013. In compliance with the SEBI (Prohibition of Insider Trading) Regulations, 2015 and pursuant to the Companys Code of Conduct to Regulate, Monitor and Report Trading by Designated Persons and their Immediate Relatives, the trading window for dealing in Securities of the Company will remain closed for all Designated Persons and their Immediate Relatives with effect from August 13, 2022 till 48 hours after the declaration of outcome of the said Board Meeting and disseminated on the Stock Exchanges.
