Tembo Global Industries Limited has informed the Exchange regarding Sub: Disclosure in pursuance Non Applicability of SEBI Circular no. SEBI/HO/DDHS/CIR/P/2018/144 dated November 26, 2018 – with respect to fund raising by issuance of debt securities SYMBOL: TEMBO ISIN- INE869Y01010 With reference to SEBI Circular mentioned in caption in the matter of fund raising by issuance of Debt securities by Large Entities, specifically mandating certain disclosure to the exchange by the listed entity (viz. Large Corporate-LC) as mentioned in paragraph 4 of the circular no. SEBI/HO/DDHS/CIR/P/2018/144 dated November 26, 2018, fulfilling the criteria specified in paragraph 2.2 of the same circular. We would like to inform that Tembo Global Industries Limited is not falling under Large Corporate (LC) category as per the framework provided in the circular as mention below:- 1. have no specified securities or debt securities or non-convertible redeemable preference share, listed on any recognised stock exchange(s) in terms of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015; and 2. have outstanding long term borrowing less than Rs 100 crores with original maturity of more than 1 year excluding external commercial borrowings and inter-corporate borrowings between a parent and subsidiary(ies); and 3. Credit rating of AA and above, is not applicable as the company doesn t have any unsupported bank borrowing or plain vanilla bonds of an entity. Kindly take note of the above. Thanking you, .
