1995 SUBHAKTI TEXTILES LIMITED DIRECTORS REPORT Your Directors have pleasure in presenting the 8th Annual Report together with Audited Accounts of the Company for the year ended 31st March, 1995. OPERATIONS The Companys Operations during the year have been quite satisfactory. Company has achieved total sales of Rs. 3463.34 Lacs and Net Profit of Rs. 292.56 Lacs. DIVIDEND Your Directors have declared a dividend of Rs. 1.50 per Equity Share of Rs. 10/- each (Subject to deduction of tax at source for the year). DIRECTORS Mrs Sushma A. Gupta and Mr. Shivkumar Poddar Directors of the Company retires by rotation and being eligible offers themselves for re- appointment. FIXED DEPOSITS The Company has not accepted any Fixed Deposits from Public u/s 58 A of the Companies Act, 1956 and the rules made and framed thereunder. AUDITORS M/s Motilal & Associates, Chartered Accountants, Bombay retire at the conclusion of the 8th Annual General Meeting and are eligible for re- appointment. PARTICULARS OF EMPLOYEES Information pursuant to Section 217 (2A) of the Companies (Particulars of Employment) Rules, 1975 as amended by the Companies Act, 1988 is not applicable to the Company as no employee was drawing salary of Rs. 12,000 per month if employed for the part of the year and Rs. 1,44,000/- if employed for the whole year.
